Terms of Service

These Terms of Service ("Terms") govern your access to and use of Codehabits' website at codehabits.dev, our dashboard and APIs, and related hosted offerings (the "Service"). By using the Service, you agree to these Terms.

1. Who we are

The Service is operated by Codehabits. Notices: hello@codehabits.dev.

2. Eligibility and accounts

You must have authority to agree to these Terms for yourself or for the organization you represent. You are responsible for activity under your account and for maintaining the security of your credentials and integrations (including GitHub access tokens and OAuth connections).

3. The Service

Codehabits helps teams derive and deliver coding context from repository and pull-request history to AI development tools (for example via generated artifacts, dashboard features, CLI workflows, and MCP integrations). Features and availability may change as we improve the product.

4. GitHub and third-party services

Parts of the Service require GitHub or other third-party accounts. Your use of those services is also governed by their terms and policies. We are not responsible for third-party services, including outages, policy changes, or how they process data.

5. Customer data and privacy

Our Privacy Policy describes how we handle personal information. You are responsible for obtaining any rights, notices, and consents needed for you to submit your teammates' or organization's data to the Service where applicable.

6. Acceptable use

You agree not to:

  • Use the Service in violation of law or third-party rights
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying systems
  • Probe, scan, or test the vulnerability of the Service without authorization
  • Interfere with or disrupt the integrity or performance of the Service or third-party data sources
  • Reverse engineer the Service except where applicable law prohibits this restriction
  • Use the Service to develop a competing product through unauthorized scraping or bulk extraction of non-public interfaces

7. Subscriptions, trials, and billing

Paid features may be offered on a subscription basis through Stripe. Prices, taxes, trials, and renewal terms are presented at checkout or in-product. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel in accordance with the billing flows we provide. You can manage payment methods and invoices through Stripe's customer billing portal where available.

If fees are not paid when due, we may suspend or limit access to paid features.

8. Intellectual property

We retain all rights, title, and interest in and to the Service, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or free tier, as applicable.

You retain rights in your content. You grant us a license to host, process, transmit, and display your content only as needed to provide and improve the Service, secure accounts, and comply with law.

9. Feedback

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR COMPLY WITH YOUR INTERNAL POLICIES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CODEHABITS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100) IF YOU HAVE NOT HAD A PAYING SUBSCRIPTION DURING THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnity

You will defend and indemnify Codehabits and its affiliates, officers, and directors against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

13. Suspension and termination

We may suspend or terminate access to the Service if you materially breach these Terms, create risk or possible legal exposure, or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.

14. Changes

We may modify the Service or these Terms. If we make material changes to the Terms, we will take reasonable steps to notify you (for example by posting on this page or by email). Your continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules, unless mandatory consumer protection laws in your jurisdiction require otherwise. Courts located in Toronto, Ontario will have exclusive jurisdiction over disputes, subject to mandatory provisions of law where you reside.

16. General

These Terms constitute the entire agreement between you and Codehabits regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
